SDWWA 2017 Annual Business Meeting
September 14, 2017
Crossroads/Events Center-Huron SD  

Call to Order: By President Monson at 12:26 pm.  Approximately 200 were in attendance. 

Agenda: The agenda had been provided to the attendees. Cindy Swanson moved for approval. Randi Isaacson seconded. Motion passed. 

Monson thanked Vince Juelfs/LAC, Robin Dykstra, Crossroads Staff, Clint Hay/Commercial Committee, WEA, and AWWA Section for their work on the Conference.  

Minutes: The minutes of the 2016 Business Meeting had been posted to web site. Robin Dykstra moved for approval. Chris Schmit seconded.  Motion passed.

Board Meeting: Monson reviewed the Tuesday nite Board meeting for the attendees. Zeck reviewed the reinstatement of the Conference Watch. In order to possibly increase nominations for SDWWA awards, the association will hold a drawing for award nominators for a $50 gift certificate. 

Old Business: There was a call for Old Business. There was none forthcoming. 

Officers for 2017-18: Monson announced that Jim Auen would be the 2017-18 President. 

As Fred Snoderly has moved out of state, the office of Vice President was vacant. The Nominations Committee did not have a candidate for replacing Snoderly as the 2017-18 President-Elect. Monson called for nominations from the floor, and there were none forthcoming. Monson will be the interim President-Elect. 

Vice-President-The Nominations Committee was unable to find a candidate for Vice-President. Monson called for nominations from the floor. Morgan Falcone nominated Del DeBoer. Kannenberg seconded. Kittay moved that nominations cease and a unanimous ballot be cast for the candidate. Swanson seconded. Motion passed. 

Secretary/Treasurer: The candidate from the Board was Rob Kittay. Monson called for nominations from the floor. None were forthcoming. Hemeyer moved that nominations cease, and a unanimous ballot be cast. Auen seconded. Motion passed. 

Outgoing Directors: Al Erickson, Dawn Horner, and Clint Hay are the outgoing directors and were recognized. 

New Directors for 2017-18: The three candidates recommended by the Nominating Committee were:

            Clint Hay-Manufacturers’ Rep     

            Dawn Horner-SD WEA Rep      

Monson called for nominations from the floor. Hemeyer moved to accept the candidates. Kittay seconded. Motion passed.  

Monson announced that Kevin Kuiper will be replacing Joe Barrett as a director. That term ends in September 2018. 

Monson thanked the Association for allowing him to serve as President. The ceremonial passing of the gavel to 2018 President Auen took place. 

Auen introduced the entire SDWWA Board. 

New Business: The sites of the future conferences were announced as follows: 2018-The Lodge at Deadwood, 2019-Pierre Ramkota, 2020-Aberdeen Ramkota, 2021-Rapid City, 2022-Sioux Falls, and Spearfish-2023 

Door Prizes: Kittay, Monson, and Auen conducted the drawings.

Adjournment: Mark Mayer moved for adjournment. Tim Monson seconded. Motion passed. Meeting adjourned at 12:48 pm.

Call to Order: Monson called the meeting to order at 7:00 pm. A quorum was present. Approval of Agenda: Kapfenstein moved for approval of the agenda. Sulzle seconded. Motion passed. Minutes: The minutes were emailed previously by Kittay and were on web site. Sulzle moved to approve the minutes. Auen seconded. Motion passed.

Old Business: There was none forthcoming.

Treasurer’s Report: Kittay reported that there were the following amounts in the various accounts- $20,019.51 General Account checkbook as of 8/21/17 $17,607.83 Source to Stream Checkbook as of 8/31/17 $26,561.01 East River Account as of 6/30/17 (endowment for scholarship) A full report of the income and payments was provided. There was some discussion of buying municipal bonds to increase the income over interest income. Auen moved to accept report. Hay seconded. Motion passed.

Auditing Committee: Andrea Griese, Bill Sarringar, and Vern Thorson were on the committee. Kittay gave the report as submitted by the committee. A copy was given to those present. The audit was done on August 31, 2017. The books were in order. Christianson moved to accept the report. Horner seconded. Motion passed.

Wastewater Seminar: Horner gave the report. The Seminar will be held in Pierre on April 11-12, 2018. Water Seminar: Erickson gave the report. The Water Seminar will be held at the Cedar Shores in Oacoma on February 21-22, 2018.
Other Committees: Erickson gave a report from the AWWA Section. Mitch Kannenberg has been approached about running for AWWA President. The Section has had a 55% retention. The library is on web site. The Section gets $600 each year from National AWWA to spend in the AWWA bookstore. If anyone has some ideas on books to purchase, let the Section know.

Source to Stream: Erin Steever submitted a report. Copy is attached to these minutes.

2017-2018 Officers: Auen will be president and Monson will be past-president. Monson will be contacting candidates for VP and to replace Snoderly as President-Elect. Secretary-Treasurer: Horner nominated Kittay with Sulzle seconding. Kittay will be the Board’s candidate for S/T. Nominations Committee: Monson gave the report for the committee. The committee put forth as directors: Dawn Horner-SDWEA Rep Tanya Miller-AWWA SD Section Rep Clint Hay-Manufacturers’ Rep Kevin Kuiper of Platte will replace Joe Barrett as a director until September 2018. Kittay moved to accept the slate. Groos seconded. Motion passed.

Scholarships: SDWWA-Zeck gave the report. The winners have been determined for this year, and the checks have been sent to the schools. The winners will be announced at the banquet. Sulzle moved to have two-$500 for each of the next two years. Kittay seconded. Motion passed. SDSU/SDSMT Scholarships-Kittay moved that $1000 be given each to SDSU and SDSMT to fund one scholarship at each school. Kapfenstein seconded.

Motion passed. 2017 Conference Concerns: Kittay indicated there were 132 pre-registrants excluding displayers. This is less than last year’s pre-registration. Square/credit cards were used for about 40 registrations and 12 booths. SDWWA collected a convenience charge on all credit card transactions. There are only about 37 booths compared to last year’s 55. There is a lack of motel rooms this year due to car races in Huron. Kittay did not hear about this conflict until a month ago. He also noted that Minnesota AWWA Section is having their conference this week which is attracting many of our vendors. MN seems to keep moving their conference around during September while we always start nine days after Labor Day. During 2018-2020, they will not conflict with our conference but will do so again in 2021.

Other Business: 2023 Conference Site-Kittay has inquired for space at the Spearfish Holiday Inn for 2023. Monson moved to hold 2023 Conference in Spearfish. Auen seconded. Motion passed.

Price-Rees and Siger Bies Awards-These awards are named for individuals involved with SDWWA many years ago. Kittay asked if these awards should be renamed for someone of more recent times. There was no motion for any action of these awards.

Zeck spoke about reinstating the Conference Watch. Sulzle moved that the Watch be reinstated under the old rules and that $100 be given to the winner. Fuhrmann seconded. Motion passed.

There was discussion about the lack of nominations for the SDWWA Awards. Auen moved that a drawing be held amongst the award nominators for a $50 gift certificate. Sulzle seconded. Motion passed.

Next Meeting: The proposed date of the next Board meeting is January 9, 2018 at the Red Rossa in Pierre just prior to the SDARWS Conference. Hay moved for adjournment. Erickson seconded. Meeting adjourned at 8:20 pm.

Call to Order: Monson called the meeting to order at 11:45 am. A quorum was present. Introductions were made. 

Approval of Agenda: Kittay noted an error in the agenda. “Review of the 2017 Conference” should be “Review of the 2016 Conference”. Kittay moved for approval of the revised agenda. Horner seconded. Motion passed. 

Minutes: The minutes were emailed by Kittay and were on web site. Sulzle moved to approve minutes. Kapfenstein seconded. Motion passed. 

Treasurer’s Report: Kittay reported the following balances in the various SDWWA accounts- 

            Checkbook                $19,913.50 as of 11/21/16

            Source-to-Stream     $18,748.40 as of 12/30/16 

The registration fee was raised for the 2016 Conference. The Well-Fargo account has been closed by actions of this Board at the September 2016 meeting. The monthly service fee of $10 was eating away at the account as so little interest money from the East River FCU account was going in.

This is the time of year when membership renewal money is coming in as all of the renewal notices have been sent to members that did not attend the 2016 Conference. Bills for the Conference have been paid. The scholarship money has been taken out of the checkbook and moved to the East River FCU account.  

Auen moved to accept report. Christianson seconded. Motion passed. 

Source to Stream: Kittay relayed Erin Steever’s report. The editors are in the process of gathering ads for the upcoming year. Kittay moved to accept the report. Kampshoff seconded. Motion passed.      

Water/Wastewater Seminars: Water-The seminar is being held on February 8-9, 2017 at the Rapid City Ramkota. A mass email on motel room availability has been done but not an agenda email. 

Wastewater-The seminar is April 19-20, 2017 at the Red Rossa Italian Grill in Pierre. Kittay stated that draft agenda is needed by March 1 to get advertising out. 

2017 SDWWA Committees: The committees were formed for the year. 

Note for the Nominations Committee—The directors leaving the Board this year are the AWWA, SDWEA, and Manufacturers’ Reps. Those groups generally nominate someone to represent their groups. The primary work for the Committee will be to find a Vice-President. 

2016 Conference Review: Kittay thought the Conference went well from his view point on working with the Ramkota Inn in Sioux Falls.

2017 Conference in Huron: Auen is in charge of the agenda with AWWA and SDWEA forming the Thursday afternoon sessions. Some ideas were mentioned-Operator issues, hydrants, trench safety, traffic safety, motivational speaker, millennials, GenX, etc. 

SF Water Festival: SDWWA has given $500 for a number of years to support the festival and they are asking for support again. Kittay moved to give the Water Festival $500 for 2017. Sulzle seconded. Motion passed.   

Other Business: Erickson gave a report on AWWA activities.

Monson said he would check on Barrett’s status on the Board 

Kapfenstein will no longer be the SDWWA rep on the SD WARN Board. A new rep is needed. 

Next Meeting: The next meeting will prior to the Conference.

Call to Order: By President Akers at 12:31 pm. Approximately 204 were in attendance.

Agenda: The agenda had been provided to the attendees. Jim Auen moved for approval. Dave Van Cleave seconded. Motion passed.

Akers thanked Gavin Graverson/Local Arrangements Committee, Robin Dykstra, Clint Hay/Commercial Committee, WEA, and AWWA Section for their work on the Conference.

Old Business: Akers called for Old Business. There was none forthcoming.

Tuesday Nite Board Meeting: Akers reviewed the Tuesday SDWWA Board meeting including the formation of the JR Yde 40 year award for anyone involved in the filed for forty years, the scholarships, and awarding SDWARN $500 for their budget.

Officers for 2016-17: Akers announced that Tim Monson would be the 2017 President and Jim Auen would be the President-Elect.

Old Business: Kittay and Sulzle reported on the 40 year award. Kittay suggested that they use the Dornbush criteria except change it to 40 years. It was also suggested that the award be named for JR Yde. Kittay moved that this award be finalized. Graber seconded. Motion passed.

Treasurer’s Report: Kittay reported that there were the following amounts in the various accounts-

$7938.35 in the checkbook as of 8/16/16

$148.05 Wells Fargo account as of 8/31/16

$20,804.58 Source-to-Stream as of 8/31/16

$23,585.36 East River FCU as of 6/30/16

A full report of the income and payments was provided. The Wells-Fargo account now has a $10 monthly service charge while only $5 per month is going into the account from the FCU account. This account will be closed and used for part of this year’s scholarship payment.

Sulzle moved to accept report. Auen seconded. Motion passed.

The audit was done in September, 2016. The books were in order. Monson moved to accept the report. Hay seconded. Motion passed.

Other Committees: SD WARN submitted a letter asking for $500 for their budget. Akers is the SDWWA member on the WARN Committee. Graber moved to give SD WARN $500 for 2016-17. Horner seconded. Motion passed.

Wastewater Seminar: Horner gave the report. The 2017 WW Seminar will be at the Pierre Red Rossa in April 2017. The exact dates are to be determined. In 2016, there were 70 attendees. A bean bag tourney was conducted with money going to the SDWWA Scholarship.

Water Seminar: Erickson gave the report. The Water Seminar will be held February 8-9, 2017 at the RC Ramkota.

Source to Stream: Erin Steever submitted a report. Copy is attached to these minutes. The SDWWA Board believes a payment should be made to each of the three entities w/ $3000 going to each group. The S2S Board will need to make a final determination on this.

2016-2017 Officers: Monson will be president, Akers will be past-president, and Auen will become president-elect.

Secretary-Treasurer: Graber nominated Kittay. Auen seconded. Kittay will be the Board’s candidate for S/T.

Nominations Committee: The committee put forth Dustin Fuhrmann-SDEDA, Jesse Christensen-BD RWS, and Kyle Kampshoff-Alexandria as directors with their terms ending in 2019. They also put forth Grant Groos of Colman to replace Greg Stack who moved out of state. There was no vice president candidate. Kittay moved to accept the slate. Sulzle seconded. Motion passed.

Scholarships: SDWWA-Zeck gave the report. The winners have been determined for this year, and the checks will be sent to the schools. The winners will be announced at the banquet. As there is only about $150 in Wells-Fargo account, the SDWWA general fund will cover the other $850. Chuck Kuecker will be honoree. Graber moved to have two $500 scholarships for 2017. Thompson seconded. Motion passed.

SDSU/SDSMT Scholarships-Kittay moved that $1000 be given each to SDSU and SDSMT to fund one scholarship at each school. Graber seconded. Motion passed.

Future Conferences: Kittay wanted some direction from the Board for the 2021 and 2022 Conference sites. The Board suggested Rapid City for 2021 and Sioux Falls for 2022. Kittay will finalize the sites.

2016 Conference Concerns: Kittay indicated there were 177 pre-registrants excluding displayers. Pre-registrants in the SF area will not get meal tickets unless they come to registration desk and get tickets for meals they will actually eat. Past experience has shown that locals have other commitments and miss some of the meals. This also applies for exhibitors registering w/ Hay. Square/credit cards were used for about 40 registrations and ten booths. SDWWA collected a convenience charge on all credit card transactions.

Other Business: There was discussion about some kind of SDWWA membership utility rate for large systems. Many members on the Board felt that the $10 per year currently charged for member is so low that a group rate is not warranted.

Akers mention that another SDWWA Warn representative is needed to replace her.

Erickson gave the AWWA Liason Report. Mitch Kannenberg is now an AWWA VP. The SD Section assessment went thru. There are currently 240 members. Jan Kittay is stepping down as their Treasurer.

Next Meeting: The date of the next Board meeting is January 10, 2016 at 11:30 am the Red Rossa in Pierre just prior to the SDARWS Conference.

Source-to-Stream Report


 

The Source to Stream publication is operating with expected $1,400 balance in 2016. I want to thank our 2016 advertisers:  

1/2 page color ads:  ACIPCO ADIP, Bartlett & West, Engineering America, HDR, and RWL Water/VanBergen & Markson

1/2 page black and white ads:  AE2S, Banner Associates, DN Tanks, HD Supply, HR Green, Hydro-Klean, and SEH

Our adverting dollars are down this year with several advertisers not renewing their contract in 2016.  We haven't adjusted advertisement rates in many years due to our steady profit, which is given back to the three associations periodically.  We are a “not-for-profit” publication/associations; however, the additional dollars raised by the publication do help our member associations with operating expenses. The publication is operating in the black; however, is there cause for concern?  

No matter your response, it is always receive constructive feedback.  Please discuss with your boards their opinions, possible changes, and general feel of the publication.  Some conversation starters may be content, value to the reader/advertisers, accessibility of contact information to the readers, use of digital copies and archives, timing of advertisement requests, interest in publication, what is done well or on the flip side what might be missing over other publications, effects from the economy, etc.  Please relay all comments, suggestions, and thoughts back to me.  I will forward these on to the Source to Stream Board (Al Erickson, Jeff DeVille and Peggi Badten) for discussion, contemplation and consideration.  Your feedback is strongly encouraged!  

This is our second year with Crystal Ehresmann developing the publication.  She is a freelance graphic designer.  I enjoy her eye for balance and her quick turn around, she does a fabulous job. My role is to take care of advertising, and coordinate and organizing content with the help of AWWA, WEA and WWA.  

I'm hoping to bring on an additional water professional to the group for proofing the issue, etc. Jeff Heins was the latest proof reader.  With his recent retirement this position is now open again.  I'll remind you that this is where I started my involvement in the publication, if you have any suggestions for YPs or more seasoned professionals in the water industry that would be a good fit, please let me know. 

Something new this year is offering on-line version of the publication instead of a printed/mailed copy.  There have been a couple individuals that have taken advantage of this opportunity.  All are welcome to visit the AWWA website (www.sdawwa.org) for archived publications. We're falling behind on the WWA site but we'll work on this too (http://www.sdwwa.org/).  I've also been posting several featured training's/events/etc. from each publication on the sdawwa website - if you haven't visited the website in a while you'll want to take a look!

This is the time of year when membership renewal money is coming in. The S2S account is high because fees have been collected for the 2016 advertising which will be spent down over the course of the year. The checkbook ran a negative balance for a while after the conference as the scholarship money was taken out and the Spearfish Holiday Inn was paid.

Source to Stream: Kittay relayed Erin Steever’s report. The editors are in the process of gathering ads for the upcoming year. Kittay moved to approve the report. Hay seconded. Motion passed.

Water/Wastewater Seminars: Water-Jan Kittay gave the report. It will be held at the Sioux Falls Ramkota Inn on February 3-4, 2016. Erin Steever is the committee leader. Rob Kittay said that a mass email has already been sent and registrations are starting to come in. The agenda is close to being finalized.

Wastewater-Horner gave the report. The seminar is April 20-21, 2016 at the Red Rossa Italian Grill in Pierre. Kittay stated that draft agenda is needed by March 1 to get advertising out.

2016 SDWWA Committees: The committees were formed.

2015 Conference Review: Kittay thought the Conference went well from his view point on working with the Spearfish Holiday Inn. It was pointed out that the MN AWWA Conference was on the same dates and may have taken away from the number of vendors we had.

AWWA Report: Jan Kittay gave report

Replace Board Member: Greg Stack is moving to North Dakota and will be resigning from the Board.

SF Water Festival: SDWWA has given $500 for a number of years to support the festival. Kittay moved to donate $500 again this year. Auen seconded. Motion passed.

Other Business: Akers is SDWWA’s rep on SD WARN and gave a report of the meeting she attended. WARN has joined RW Center to be able to accept donations such as excess equipment. WARN may be looking for funds for storage, repairs, etc.

John Hatch has suggested that a 40 year award be created. Sulzle moved to create this award. Kittay seconded. Motion passed. Kittay and Sulzle volunteered to develop a set of eligibility criteria for this award and bring this back to the Board.

Call to Order: By President Graber at 12:26 pm. Approximately 160 were in attendance.

Agenda: The agenda had been provided to the attendees. Auen moved for approval. Snoderly seconded. Motion passed.

Graber thanked Tom Callaway/Local Arrangements Committee, City of Spearfish, Robin Dykstra, Holiday Inn Staff, Clint Hay/Commercial Committee, WEA, and AWWA Section for their work on the Conference.

Minutes: The minutes of the 2014 Business Meeting had been posted to web site. Swanson moved for approval. Boerger seconded. Motion passed.

Old Business: Graber called for Old Business. There was none forthcoming.

Graber reviewed the SDWWA Tuesday nite board meeting for the attendees: Scholarships/Cost of Conference to rise due to costs/Credit Cards are now being taken for conference and seminar registration/S2S funds disbursement/SD WARN volunteer.

Officers for 2015-16: Graber announced that Steph Akers would be the 2016 President and Tim Monson would be the President-Elect.

Vice-President: The candidate from the Board was Jim Auen from Lewis & Clark RWS. Graber called for nominations from the floor. Kittay moved that nominations cease, and a unanimous ballot be cast for the candidate. Boerger seconded. Motion passed.

Secretary/Treasurer: The candidate from the Board was Rob Kittay. Graber called for nominations from the floor. None were forthcoming. Van Cleave moved that nominations cease, and a unanimous ballot be cast. Boerger seconded. Motion passed.

Outgoing Directors: Thorson/Auen/Sulzle are the outgoing directors and were recognized.

The sites of the future conferences were announced as follows: 2016-Sioux Falls Ramkota, 2017-Huron Crossroads, 2018-The Lodge at Deadwood, 2019-Pierre Ramkota, and 2020-Aberdeen Ramkota.

Auditing Committee: Andrea Griese, Vern Thorson, and Jake Fitzgerald were on the committee. A report was submitted by the committee. The audit was done in September, 2015. The books were in order.

Commercial Committee: Hay gave the report. Everything is in order for the displays. There are 47 vendor tables and three are now not showing.

Wastewater Seminar: 2015 Seminar was well attended. A preliminary date for the 2016 Seminar is April 20-21 again at the Pierre Red Rossa.

Water Seminar: It will be held at the SF Ramkota Feb 3-4, 2016. Spearfish attendance was a little down for the 2015 Seminar.

Source to Stream: Steever submitted a written report. Deadlines in S2S for 2015 will be January 15, April 30, June 30, and October 1. As the S2S account is doing well, Graber moved to recommend to the S2S editorial committee that a dispersal of $3000 to each of the three groups be made. Auen seconded. Motion passed.

2015-2016 Officers: Akers will be president, Graber will be past-president, and Monson will become the president-elect.

Nominations Committee: Graber gave the report for the committee. Auen, Sulzle, and Thorson are the directors going off of the Board. The committee put forth the following candidates:

Scholarships: SDWWA-Zeck gave the report. The winners have been determined for this year, and the checks will be sent to the school. The winners will be announced at the banquet. These will be paid for with $500 from the Wells-Fargo account and $500 from SDWWA checkbook. Erickson noted that the endowment contributions are slowing down. Thompson moved to continue to give two scholarships for the next two years. Sulzle seconded. Motion passed.

SDSU/SDSMT Scholarships-Kittay moved that $2000 be given each to SDSU and SDSMT to fund two scholarships at each school. Sulzle seconded. Motion passed.

2015 Conference: Kittay indicated there were about 240 pre-registrants including displayers. There was some discussion about the fees charged for the conference. Erickson suggested that conference fees be raised by $20. Thompson moved to raise conference registration by $20 and that $5.00 each be given to the AWWA Section and SDWEA from each conference registration. Auen seconded. Motion passed.

SD WARN: That group wanted to have SDWWA have a non-voting volunteer be on its committee. Akers offered to take that position.

Other Business: Kittay indicated that he had purchased a credit card reader from Square and that SDWWA can accept credit cards for conference and seminar registration. Of each credit card swipe, 2.5% went to Square. SDWWA would add a convenience fee to each registration using a credit card.

Next Meeting: The proposed date of the next Board meeting is January 12, 2016 at the Red Rossa in Pierre just prior to the SDARWS Conference.

For CY2015, advertising has brought in $8350 in comparison to $11,200, $9250, and $11,050 for the three years. There are two more ads expected for the Q1-2015 edition that have not been paid for. There were discussions at the Ramkota over these issues that were pointed out to management, and they agreed that these indeed should not have happened. Kittay moved to hold the 2020 Conference at the Aberdeen Ramkota. Akers seconded. Motion passed.

Other Business
: There was discussion of the SDWWA Awards especially the NALCO Award since it has been a long time since this company participated in the SDWWA. Thompson moved to change the name of this award to the William Aisenbrey Award. Thorson seconded. Motion passed.

2015 Wastewater Seminar: The seminar will be held at the Pierre Clubhouse Suites/Red Rossa on April 29-30, 2015. Topics were gathered.

Source to Stream: Steever submitted a written report. Deadlines in S2S for 2015 will be January 15, April 30, June 30, and October 1. There is some problem with incorrect addresses. There is a need for new co-editor. With the current balance in the S2S checkbook, there was discussion on a dispersal of funds. There is also a software update needed that can could range $400-$1400.

2014 Conference: Kittay indicated there were 238 pre-registrants including displayers. It was stated by some that there is a room issue with the Watertown Ramkota with only 101 sleeping rooms and most other motels on the other end of town. Kittay indicated that the Board will have to make a decision if they want to hold a conference at Watertown Ramkota in the future.

Other Business: DENR Fluoride Rule-mark Mayer gave a brief review of DENR’s intent to revise the fluoride regulations. DENR has been waiting for CDC to make some recommendations; however, they have not done so as of yet. He would like input on the draft rules. He also went thru the regulation adoption procedure.

Water Festival-Graverson spoke about the festival. Auen moved to give $600 to the Sioux Falls water Festival. Peters seconded. Motion passed.

Lifetime Achievement Award-A proposal was submitted by an SDWWA member for a 40 yr award.

Next Meeting: The date of the next Board meeting is January 13, 2015 at the Red Rossa in Pierre just prior to the SDARWS Conference. Arrangements have already been made with Red Rossa.

WW Seminar: Peters reported that the seminar will be held on April 30-May 1 at the Red Rossa Italian Grill in Pierre. There is some work left to be done with a few agenda items to be finalized. The draft agenda is needed by March 15 to be sent to systems.

2013 Conf: The 2013 Conference was reviewed. It was mentioned that desserts at the banquet would be nice.

2014 Conf: The 2014 Conference will be a week later due to a problem with the Watertown Ramkota. The AWWA/WEF national reps will be given 15 min to speak during the Wednesday general session. All speakers need to be kept on time by the session moderators. Ideas were given for presentations.

Other Business: There was a request from the Sioux Empire Water Festival for funding. SDWWA has given $500 for last few years. Kttay moved to donate $500 to the 2014 Sioux Empire Water Festival. Peters seconded. Motion passed.

Next Meeting: The next meeting date will be left open for now in case a meeting is needed to work on the Conference. This could possibly be by conference call. There will be a meeting at 6:00 pm on September 16, 2014 at the Watertown Ramkota.

Source-to-Stream Report

The Source to Stream brought in $9,200 in 2013.  We continue to see a decrease in our income, however it has been adequate to balance the budget.  Last year I worked with the printer to reduce our printing costs by decreasing the paper thickness of the entire issue.  In 2013, the printing was $1.63/issue.  In 2012, it was $1.76/issue for printing.  We average 920 copies per issue.  So far for 2014 we are at $8,300 from advertisements.  On average, each issue takes roughly $300 in staff fees, $350 in postage, and $1,400 in printing/mailing.

Stephanie and I (Erin) continue to share editorial tasks.  She takes care of assembling, proofing, and delivering the issue to the printer.  She's been working in a few updates to the overall look, one example is pulling text boxes out to highlight a statement or two in the articles.  I work with managerial like advertisement correspondence, keeping up with email account, and putting together the Q&A as well as the calendar (based off the Rural Water and DENR on-line calendars).  I also proof the issue and provide content advise while Stephanie is developing each issue.  The mailing list is based off WWA, WEA and AWWA membership records obtained from Rob Kittay, Dennis Rebelein, and Jodi Johanson. Rob takes care of the checkbook.  I send all checks received for advertising his way to deposit into the account.

Stephanie is currently using a version of In-Design that is not compatible with the older version of In-Design that Source to Stream purchased a few years ago.  HDR allows Stephanie to use her copy of In-Design software at work for Source to Stream use.  She is due for another upgrade in her software this year; at that time we would like to also purchase a new copy for Source to Stream so that Erin can also jump in to the program to make minor edits, print PDFs for website links, etc. Currently, Erin has no access to In-Design files that have been opened using the updated software.  Please advise if the purchase of new In-Design software in 2014 is acceptable to the board.

I want to extend a big Thank You to Jan Kittay for volunteering to put together a master schedule for the 2014 year.  At the same time she was putting together the calendar, I was getting the advertisement letters out in the mail much earlier than they have been in the past.  This was in an effort to get ad contracts and art back in time for the first quarter issue to be printed in February.  To date, we have payment for all contracts that we've received for 2014, and are only waiting on new ad art from two companies. We are sitting very well compared to last year at this time, however we still need a few more ads to keep us comfortably in the black for the year.

Something new for 2014, I will be sending out reminders to all those who are supposed to be submitting articles for the upcoming issues.  Calendar reminders will be sent out using ANYVITE.COM, which is a free calendar notice that bridges several different calendar formats (eg. Outlook, Google, etc.).  It was implemented for January 15th Q1 deadline, however only one response from the Q1 issue was received.  It seems most of the e-vites, including mine, was removed by the spam/junk filter.  I will send out another email from the Google account with information from ANYVITE.COM.  Please add it to your safe list if you receive the mentioned email.  If you'd like to be added to the calendar for due date reminders and do not see an email, please inquire by sending an email to sourcetostream@gmail.com and I'll get you on the list.

Q4 of 2013 had some great original articles, but as I look back the past few years, our content has been less original than I would like (filler material from EPA is not considered original).  Please take the time to provide original, timely, informative, and interesting content for your fellow water professionals.  It is your articles that make the publication!  If you would like to discuss content of the issues, have an idea for something new, or just want to discuss the overall feel of the issue please give me a call (see page 3 of each issue for my contact information).  I promise not to volunteer you for anything, and we want you to know that your opinion is important and appreciated!

Call to Order: By President Van Cleave at 12:24 pm. Approximately 200 were in attendance.

Agenda: The agenda had been provided to the attendees. Chris Schmit moved for approval. Ed Royalty seconded. Motion passed.

Van Cleave thanked the Commercial Committee, WEA, and AWWA Section for their work on the Conference. He also reviewed the Tuesday nite Board meeting for the attendees.

Minutes: The minutes of the 2012 Business Meeting had been posted to web site. Jim Auen moved for approval. Peggi Badten seconded. Motion passed.

Old Business: Van Cleave called for Old Business. There was none forthcoming.

Officers for 2013-14: Van Cleave announced that Gavin Graverson would be the 2013-14 President and Dan Graber would be the President-Elect.

Vice-President: The candidate from the Board was Stephanie Akers. Van Cleave called for nominations from the floor. Rob Kittay moved that nominations cease, and a unanimous ballot be cast for Akers. Kim Verhey seconded. Motion passed.

Secretary/Treasurer: The candidate from the Board was Rob Kittay. Van Cleave called for nominations from the floor. None were forthcoming. Royalty moved that nominations cease, and a unanimous ballot be cast. Mark Mayer seconded. Motion passed.

Old Business: Adler spoke about efforts to get on SD Municipal League agenda for October annual meeting about operator importance. He was unsuccessful in getting on the 2013 conference agenda.

Graber had some contact with SD American Public Works Association (APWA). He received a lukewarm reception as to their group meeting at our conferences. He will go Municipal League meeting and see if there is any interest for APWA.

Treasurer’s Report: Kittay reported that there were the following amounts in the various accounts-

Auditing Committee: Andrea Griese, Vern Thorson, and Mark McIntire were on the committee. A report was submitted by the committee. The audit was done in September, 2013. The books were in order. Macdonal moved to accept the report. Adler seconded. Motion passed.

Commercial Committee: Macdonald reported that some vendors were lost to MN AWWA Conference that was being held at the same time as this conference. MN had changed the dates of their conference sometime during 2013.

2014 Water Seminar: The committee met this afternoon and developed an agenda. It will be held at the SF Ramkota on February 5-6, 2014. Kittay would like the agenda by January 1 for the flyer. Topics were discussed.

2014 Wastewater Seminar: The seminar will be held at the Pierre Clubhouse Suites/Red Rossa on April 30-May 1, 2014. Topics were gathered.

Source to Stream: Steever submitted a written report. Editors need to be more aggressive in reminding people for articles. The deadlines for article submission need to be made known to all. Jan Kittay said that she would be willing to round up articles.

Article assignments were made for CY2014 as follows:

2nd-Kannenberg, Graverson, Graber, Sulzle

3rd-New Vice-President, Thorson, Auen

Bill Aisenbrey and Blaine B Barker will be honored this year for the SDWWA Scholarships. The committee is checking on reinvestment possibilities as two of the funds are maturing. Kannenberg moved that two scholarships at $500 each be given for the next two years. Kittay seconded. Motion passed.

SDSU/SDSMT Scholarships-Thompson moved that $2000 be given each to SDSU and SDSMT to fund two scholarships at each school. Adler seconded. Motion passed.

2019 SDWWA Conference Site: Kittay had done some inquiries with the Pierre Ramkota. They are interested in holding the 2019 Conference. Kittay moved to hold 2019 Conference in Pierre. Graber seconded. Motion passed.

2013 Conference: The Aberdeen mayor backed out; however, Janel Ellingsen will be filling in. Wastewater portion also had a speaker drop out with DENR filling in.

Other Business: Water Festival-No specific date or info was available. SDWWA has donated to the SF Water Festival in the past. Graverson will find more information.

Next Meeting: The proposed date of the next Board meeting is January 14, 2014 at Red Rossa just prior to the SDARWS Conference.

Adler asked about getting more operators involved. Contact hours are not the only reason to come to conferences and seminars.

Graverson indicated that he has a good number of presentations. Coach Don Meyer will speak on Wednesday afternoon. Graverson will work on the specific topic with him.

Kittay indicated that the preliminary Conference program needs to be done by July 15 with the final agenda with presenters/moderators/AV assistants’ names done by August 1.

Other Business: Van Cleave asked about ways to spend down checking account. Local government education was mentioned to enhance the appreciation of water/wastewater operations specialists. Adler will ask Vansco and Peters will talk to Municipal League about getting on program at Conference. A Public Outreach Committee will be formed. Auen moved to form the committee. Adler seconded. Motion passed.

Graber asked about including American Public Works in this group. He will talk to Dan Bjerke about any cooperative efforts that could be done.

Next Meeting: Will be at 6:00 pm in Aberdeen at either the Ramkota or a local restaurant if there is one suited to hold a dinner meeting.

Water Seminar: Kannenberg gave the report. It will be held at the RC Ramkota on February 13-14, 2013. Brett Runge is the head of the committee. Kittay added that a mass email has already been sent and registrations are starting to come in.

WW Seminar: Peters reported that the seminar will be held on May 1-2 at the Red Rossa Italian Grill in Pierre. A few agenda items need to be finalized. Kittay added that committee should get dates a year in advance and that draft agenda was needed by March 10. MacDonald moved for approval. Akers seconded. Motion passed.

2013 Committees: The establishment of a budget committee was discussed. Graber volunteered to lead this. Kannenberg moved to establish this committee. Graverson seconded. Motion passed.

Bill Brinker/James Dornbush: These two gentlemen passed away recently. There was discussion on how to recognize these two long-time SDWWA members. There is already a Dornbush Award. Graber moved to give the SDWWA Scholarship in Brinker’s name this year. Adler seconded. Motion passed. There was more discussion for a more permanent recognition. Members were asked to think about this and bring more ideas to next meeting.

2012 Conference: Van Cleave thanked the Board for holding 2012 Conference in RC. Kittaythought some of the topics were getting off of the water/wastewater track. It is OK for one or two presentations but the focus needed to be narrowed. Other comments included keeping program on time which is one of the moderators’ functions and that all speakers should use a microphone.

2013 Conference: One contact from Van Cleave was passed on to Graverson. It may be possible to get Coach Don Meyer to speak. VJ Smith from Brookings was also mentioned.

Other Business: Graber wanted to discuss the giving of the Conference Watch. This was very old tradition of SDWWA. Auen moved to discontinue this effort. Kittay seconded. Motion passed.

Next Meeting: The Board proposed to meet in May in Chamberlain or Pierre. Kittay will make arrangements.

Fink moved for adjournment. Kittay seconded. Meeting adjourned at 1:12 pm.

Honorary Membership: The Board had approved an Honorary Membership for Delvin DeBoer at the Tuesday nite meeting which then needed approval from the membership. Kittay moved for Honorary Membership status for DeBoer. VanCleave seconded. Motion passed. DeBoer was given his plaque.

SDWWA Scholarship: Zeck gave a brief life history of JR Yde whose name the scholarships were given. Dane Yde, JR’s son, also made a few comments. Tia Miles and Brady Aldrich who are both at SDSU were the recipients.

New Business: The sites of the future conferences were announced as follows: 2013-Aberdeen Ramkota, 2014-Watertown Ramkota, 2015-Spearfish Holiday Inn, 2016-Sioux Falls Ramkota, 2017-Huron Crossroads, 2018-The Lodge at Deadwood.

How money can be invested depends on what kind of non-profit corporations SDWWA is. Kittay will investigate this. Municipal bonds are a possibility. Kittay asked about the $5720.31 that was collected last year. Kittay moved to deposit this money in a 6 month CD. Clark seconded. Motion passed.

SDSU/SDSMT scholarships-Kittay moved that $2000 be given each to SDSU and SDSMT to fund two scholarships at each school. Adler seconded. Motion passed.

Resolution: Vansco gave a report. NRWA is advocating more professionalism in the water/wastewater industry. One of their objectives is for all groups to use the terms “Water System Operations Specialist” and “Wastewater System Operations Specialist”. Vansco would like the Board to adopt a resolution promoting this. Adler moved to adopt the following resolution-

WHEREAS: The South Dakota Water & Wastewater Association (SDWWA) desires to promote the skills, knowledge and expertise in today’s water and wastewater industry workforce, and;

WHEREAS: This workforce is a critical link to protect public health and the environmental protection of our waterways, and;

WHEREAS: The skills, knowledge and expertise embedded in the industry should be respected for its complexity and critical infrastructure responsibilities, and;

WHEREAS: It is desired that these workforce positions be viewed as a professional career path for the next generation, and;

WHEREAS: Our organization continues to provide leadership and continuous communication to the industry, agencies and the public, thus;

THEREFORE: From this day henceforth, the SDWWA will endeavor to project the workforce position of operations personnel as:

WATER SYSTEM OPERATIONS SPECIALISTS

and as

WASTEWATER SYSTEM OPERATIONS SPECIALISTS

in publications, reports and verbal communications.

Other Business: Mark Mayer appeared for DENR. The department is preparing for the 2013 Legislative Session. They are in the process of eliminating outdated regulations/statutes as part of the Better Government Initiative. This was just to notify the Board that some of the statutes to be eliminated dealt with water and wastewater and were no longer needed.

Water Festival-Graverson gave some information on the 2013 Water Festival on March 12-13 in Sioux Falls. SDWWA donated $500 last year. Kittay moved to donate $500 again this year. Akers seconded. Motion passed.

Subject: Source to Stream - Financial Update

Good afternoon, everyone. I hope you are enjoying this gorgeous weekend weather we are having! With the Annual Meeting coming up next week I've been asked to prepare a financial status update for the board meetings. Please see the attached PDF for the number and types of ads under contract for this year and the previous years, for comparison. I've also attached a summary of the expenses from this year to date. We are expecting to have some surplus at the end of the year, which is always our goal. We were able to update the look of the issue in the first issue, and we've also been placing a PDF copy on the SD AWWA website.

For those of you who don't know, we are looking for a second editor again. Jan's work load was unexpectedly increased this year and she is unable to fulfill her obligations to co-edit the Source to Stream. She brought a lot of energy and ideas to the table and I appreciate the work that she was able to provide for the first two issues of 2012. I have had a few people inquire about the editor position opening, however, none of the inquiries were looking to fill the position.  They were only curious about what was going on. Al, I know that you have a potential in Rapid City that I think would be a good fit. Could you send me her contact information and I can get in touch with her about the opening? If anyone else has someone in mind for the position, I'd also welcome you to send me some information about them.

I would like to point out that we have not be receiving as many articles as I would like to see for each issue this year. Please stress to your board members to get articles in as assigned.  The deadlines for each issue can be found on page 3 on the lower right hand column of the publication.

If there is anything else you'd like to see, please let me know and I'll do my best to get your questions answered before the board meetings.  As always, constructive feedback is always welcome.  If you have new ideas you'd like to run by me, things you might want to see changed, etc. please let me know.

CONSTITUTION OF THE SOUTH DAKOTA WATER AND WASTEWATER ASSOCIATION (SDWWA)

ARTICLE I

Name

The name of this body shall be “The South Dakota Water and Wastewater Association”, hereinafter designated as the Association.

ARTICLE II

Object

The objectives of the Association shall be:

  1. The advancement of a course of instruction for those responsible for the operation of water and wastewater facilities.

  2. The general advancement of knowledge of the design, construction, operation, and management of water and wastewater facilities.

  3. The cooperation with, and promotion of, the South Dakota Section of the American Water Works Association (AWWA) and the South Dakota Water Environment Association (WEA).

  4. The encouragement for a friendly exchange of information and experience amongst its members.

ARTICLE III

Membership

Section 1. Members of this association may either be Honorary Members or Active Members.

Section 2. An Honorary Member shall be a person who has rendered loyal and dedicated service to the Association. Election to this grade of membership shall be recommended by the Executive Committee and approved by majority vote of the members at the annual business meeting. The number of living Honorary Members at any one time shall not exceed 4% (four percent) of the Association membership at the time of election.

Section 3. A member shall be anyone with an interest in the water and/or wastewater field.
 

ARTICLE IV

Fees and Dues and Fiscal Year

Section 1. Each Active member shall pay annual dues of ten dollars. Honorary Members shall pay no annual dues.

Section 2. The fiscal year of the association shall begin on September 1 of each year.
 

ARTICLE V

Executive Committee

Section 1. There shall be an Executive Committee in which the government of the Association shall be vested. It shall consist of the Association President, President-Elect, Vice-President, Past-President, Secretary-Treasurer, and nine Directors.

The Directors will be designated as follows:

One AWWA-SD Section designated representative

One SDWEA designated representative

One manufacturers’ representative

Two people representing water and/or wastewater systems that serve less than 3300 people

Four at-large directors

The Officers of the Association shall be the Officers of the Executive Committee.

Section 2. The Officers of the Association shall be a President, President-Elect, Vice-President, and Secretary-Treasurer. All Officers shall be members of the Association and shall reside within the geographical boundaries of the State of South Dakota. The Officers of the Association shall be the Officers of the Executive Committee.

The office of President shall be filled by the previous year’s President-Elect.

The office of President-Elect shall be filled by the previous year’s Vice-President.

The position of Past-President shall be filled by the previous year’s President.

The election of officers shall take place during the annual business meeting. Prior to the annual business meeting, the Executive Committee shall select the nominees for any vacated offices being filled by interim officers and for the offices of Vice-President and Secretary-Treasurer, to be balloted on by the membership-at-large. Following the report of the Executive Committee to the membership-at-large members present at the annual business meeting, the President shall call for any additional nominations from the floor. Eligible voting members Members present may place in nomination additional qualified members for each office, the same being balloted on by the membership-at-large. These terms shall begin immediately following the conclusion of the annual business meeting. The Vice-President shall have served on the Executive Committee. All nominees shall have signified their willingness to serve.

The election of the Directors shall take place during the annual business meeting. A nomination committee, consisting of three active members of the Association appointed by the Executive Committee, shall place before the membership-at-large attending members present at the annual business meeting nominations for three Directors. Following the report of the Nominating Committee to the membership-at-large, the President shall call for any additional nominations from the floor. Eligible voting members Members present may place in nomination additional members of the Association, the same being balloted on by the membership-at-large. All nominees for Director shall be members of the Association. The terms of the Directors so elected shall be for three years. No director shall be elected to more than one consecutive three-year-term. All nominees shall have signified their willingness to serve. These terms shall begin immediately following the conclusion of the annual business meeting.

If only one (1) name is placed in nomination for any office and/or only three (3) names are placed in nomination for Directors, the nominee for that office or the nominees for the director positions shall be declared as elected.

If more than one (1) name is placed in nomination for any office or more than three (3) names are placed in nomination for Directors, an Election Committee shall be named and an election shall take place at the annual business meeting. Voting voting shall be by ballot by those present at the annual business meeting and the names of the nominees receiving the greatest number of votes cast shall be declared elected.

The terms of the officers and directors so elected shall begin immediately following the conclusion of the annual business meeting.

Section 3. If it becomes necessary for an officer to reside outside of the State of South Dakota, said officer shall relinquish the office held immediately, constituting a vacancy. In the event that a director or officer vacancy occurs for any reason in any office, the Executive Committee shall elect an interim officer or director.

The interim officer shall be a present member of their body the Executive Committee or any past Director or Officer and shall be elected by majority vote to fill the vacated office for the balance of its term. Upon completion of the term of the vacated office, the interim officer shall be relieved of further duty with regard to the normal progression of offices but shall be eligible to serve as director for the balance of his/her previous elected term on the Executive Committee. If the interim officer was a Director with an expired term on the Executive Committee he/she may exercise his/her eligibility to be elected again to office or for Director on the Executive Committee.

An interim director shall serve out the remainder of the term of the vacating director. An interim director may then be elected as a director thru the process described in Section 2 of this article.
 

ARTICLE VI

Duties of the Executive Committee
 

Section 1. The President shall have general supervision of the affairs of the Association.

Section 2. The President-Elect shall be responsible for the coordination of the annual conference. In the absence of the

President, he/she shall perform the duties of the President.

Section 3. The Vice-President shall assist the President-Elect as required in the coordination of the annual conference.

Section 4. The Secretary-Treasurer shall have charge of the funds of the Association, shall pay bills against the Association and shall make a report of the expenditures of the funds of the Association at the annual business meeting. It shall be his/her or a duly authorized representative's duty to attend all meetings of the Association and of the Executive Committee; prepare the business agenda for all official meetings and record the proceedings thereof. He/she shall conduct the correspondence of the Association and keep a full record of the same. He/she shall act as parliamentarian at all official sessions of the Executive Committee.

Section 5. Those officers or directors responsible for the coordination of both water and wastewater seminars shall beappointed and approved by the Executive Committee. They shall participate in the program planning of the annual conference. They shall be willing to offer their support to the Association as needed.

Section 6. The Executive Committee shall have the authority to appoint committees to carry out special activities of the Association and shall be the legal representative of the Association and as such, shall have full control of the management of the affairs of the Association or to invest funds of the same, but must not incur indebtedness beyond the funds in the custody of the Secretary-Treasurer. The Executive Committee shall have the power to prepare and enforce, for the conduct of the business of the association, by-laws not in conflict with this Constitution. It shall hold a meeting at least one hour before the opening session of the annual business meeting. Other meetings shall be held at the call of the President or of any three members of the Executive Committee.

All questions in the Executive Committee shall be decided by a majority vote. Fifty percent of the Executive Committee plus one Five members shall constitute a quorum at any meeting of the Executive Committee. The Executive Committee may vote by letter ballot upon questions submitted by letter from the President and Secretary-Treasurer.

ARTICLE VII

Annual Business Meeting

This Association shall hold an annual business meeting. The place will be selected and the time set by the Executive Committee.

Section 1. The Secretary-Treasurer shall make available an agenda to all members of the Association at least ten days before the annual business meeting.

Section 2. Amendments to this Constitution may be proposed by a majority of the Executive Committee, or through it, on petition of ten (10) percent of the eligible voting members. Amendments to this Constitution must first be adopted by the Executive Committee prior to being voted upon by the membership present at the annual business meeting. If adopted by the Executive Committee, written notice of the proposed amendments shall be made available to the members prior to the annual business meeting. A two-thirds vote of the members present at the annual business meeting shall be necessary for ratification.

Section 3. An amendment approved by the Association membership shall take effect immediately.

Call to Order: Van Cleave called the meeting to order at 11:47 am. A quorum was present.

Approval of Agenda: Van Cleave moved for approval. Clark seconded. Motion passed.
 

Minutes: The minutes were emailed by Kittay and were on web site. Kittay moved to approve minutes. Dykstra seconded. Motion passed.

Board membership: Chad Johnson will not be able to fulfill his term on the Board. MacDonald is willing to fill the manufacturers position on Board. Kittay moved to have MacDonald join the Board as the Manufacturers’ Rep. Dykstra seconded. Motion passed.

Treasurer’s Report: Kittay reported that there was $37,512.27 in the checkbook plus $2906.70 in the UBS account plus $1002.70 in the Wells Fargo account. Water Seminar bill has not been paid. Akers
moved to accept report. Clark seconded. Motion passed.

Budget Committee: Van Cleave gave a report and has a plan to get a budget developed.

2012 Conference: Kannenberg gave a report of what AWWA Section has been developing for their section of program. They have more than enough topics so some of the extras could be used for Wednesday or Friday. Kittay will contact SDSMT to see if there are any student reports that could be given. Kittay wants a completed program of topics by July 1, and a final program with names by August 1. MacDonald will work on table tops. Fink/Adler/Kuiper will organize the small system section for Thursday afternoon. WEA will be meeting on Monday to develop their portion of program.

Scholarships: Zeck had information on the scholarship. Fink asked if a permanent name should be given to the scholarship. The committee will discuss this. The scholarship is given in a different name each year. Zeck will check w/ Verhey on where money from credit union interest is going. Kittay moved to have the committee investigate investing in municipal bonds. Dykstra seconded. Motion passed.

A drawing was done for the scholarship so that the submitter can be confirmed as a member of SDWWA.

Formed 2012 SDWWA Committees:

There was some discussion regarding the Budget Committee. It was decided to at this time to leave the committee unchanged from the 2011 Budget Committee. The 2011 Budget Committee Members are Dan Graber, Del DeBoer, Rob Kittay and Dave VanCleave. The remaining 2012 committees are as shown in the attached document titled “SDWWA 2012 Committees.”

Review of 2011 Conference: Dan Fink reviewed previous email communication, indicating that each session at conference must have a moderator and an audio-visual (AV) person. Also, speakers should be reminded that they must fill their allotted time on the agenda – finishing early can cause problems with timing. Some members had indicated that the Banquet got a little long. Discussed potential ideas for shortening the Banquet. One suggestion was to pre-draw the Water for People prizes (rather than doing the drawing at the banquet). Then, the winners would simply be announced by Jim Zeck during his presentation of the winners, and acknowledgement of the firms donating the items. Also, it would be advantageous to encourage pre-registration for the conference as this greatly facilitates meal planning, etc.

Preliminary 2012 Conference Arrangements

Pre-Registration

In order to encourage pre-registration (see above), it was moved by Delron Peters that a $10.00 surcharge be added to both member and non-member conference registration fees for those attendees who do not pre-register. Seconded by Dave VanCleave. Discussion – for example, it conference fees are left as they were in 2011, Fees would be as follows:

Member Pre-registration: $60.00

Member No Pre-registration: $70.00

Non-Member Pre-registration: $80.00

Non-Member No Pre-registration: $90.00

Conference Agenda

Some discussion on what acceptable amount for speaker fees is? General consensus is that this has generally been decided on a case-specific basis.

Some potential general session topics were discussed, including Sid Goss (SDSM&T Professor) South Dakota Demographics, or perhaps US Forest Service on Pine Beetle Infestation of the Black Hills.

There was discussion on whether or not the Conference should have a theme, such as suistainability, or some other theme. No theme was selected, will give it further consideration.

Dan Fink, Kevin Kuiper, and Jerry Adler will develop Small Systems Session

SD AWWA T&E Committee will develop drinking water session

SD WEA will develop wastewater session.

Specific topic suggestions should be ready by next board meeting so that agenda can be finalized by end of July.

Other Conference Items

Must have AV operators & Moderators selected no later than 2-weeks in advance of conference – Mitch Kannenberg to assist Dave VanCleave with AV operator issues.

Discussed potential plant tours, Rapid City’s new water plant will be well underway by then, also some discussion about other tours that may be of interest to a wider audience. Rapid City has a downtown trolley tour. Dave VanCleave will further review potential tours.

Other Business: Gavin Graverson had been contacted by Jesse Neyens (Sioux Falls Environmental) to request, on behalf of the Region 8 Pretreatment Association, a donation to help this industrial wastewater pretreatment group fund meals, etc. at a Conference they are holding in Deadwood in May. This is a national conference focusing on wastewater pretreatment, and historically different groups and associations from the host state have donated funds to offset meal costs, etc. Discussion for making a donation included supporting local wastewater operators who may want to attend and to encourage groups like this to hold conferences in South Dakota. Jerry Adler moved that $500 be donated to the Region 8 Pretreatment Association, Heath Thompson seconded. Motion passed.

Water Festival donation amounts were discussed. It has been previously decided by the Budget Committee that a maximum of $1000 be donated for Water Festivals, with a maximum amount of $500 per festival. No board action was needed or taken on this topic.

Dan Fink asked the Board to consider the potential benefits of SDWWA having a booth at the SDARWS Technical Conference. He indicated that he often sees many operators at the SDARWS Conference that he doesn’t see at other conferences, and a booth there may be a way to reach out to new members. The SDWWA does not have a booth at this time. No board action taken at this time.

There was some discussion regarding potentially re-naming the scholarship award to memorialize JR Yde. It was suggested to invite Jim Zeck to attend the next SDWWA Board meeting to further discuss.

Next Board Meeting: The next board meeting was scheduled for 11:30 am, on Friday, April 27, 2012, at Al’s Oasis in Chamberlain.

Dykstra thanked the Commercial Committee, WEA, and AWWA Section for their work on the Conference. He also reviewed the Tuesday nite Board meeting for the attendees.

Old Business: Dykstra called for Old Business. There was none forthcoming.

Officers for 2011-12: Dykstra announced that Dan Fink would be the 2011-12 President and Dave Van Cleave would be the President-Elect.

Vice-President: The candidate from the Board was Gavin Graverson. Dykstra called for nominations from the floor. Zeck moved that nominations cease, and a unanimous ballot be cast for Graverson. Swanson seconded. Motion passed.

New Business: The sites of the future conferences were announced as follows: 2012-RC Ramkota, 2013-Aberdeen Ramkota, 2014-Watertown Ramkota, 2015-Spearfish.

The committee put forth DelRon Peters for the WEA position, Mitch Kannenberg for the AWWA position, and Chad Johnson as the Manufacturers Rep as directors. Gavin Graverson was nominated as VP. Heath Thompson was nominated to take Graverson’s director position. Van Cleave moved for acceptance. Kittay seconded. Motion passed.

Other Committees: There were no reports.

Water Seminar: The committee met this afternoon and developed an agenda. It will be held at the SF Ramkota on February 22-23, 2012.

WW Seminar: Englund reported that the seminar will be held on the first week of May at the SF Ramkota.

2011-2012 Officers: Fink will be president, Dykstra will be past-president, and Van Cleave will become president-elect.

Secretary-Treasurer: Kuiper nominated Kittay with Graverson seconding. Motion passed. Kittay will be the Board’s candidate for S/T.

Scholarships: SDWWA-Verhey gave the report. $25,927 total for SDWWA Scholarship. $15,000 has been invested with Wells Fargo. The committee is to meet during conference. The winner has been determined for this year and the check sent to the school. Fink wanted to supplement the SDWWA scholarship w/ more money. Kittay moved to have the original $15,000 fund a $500 scholarship with the excess going to a second scholarship. The $10,000 interest would also go to the second scholarship. The SDWWA will then makeup whatever money is needed to make the second scholarship in $500. Clarke seconded. Motion passed.

Graber entered meeting.

Jim Zeck will become the new chairperson for the scholarship committee with Verhey staying on as a member.

SDSU/SDSMT scholarships-Kittay moved that $2000 be given each to SDSU and SDSMT to fund two scholarships at each school. Englund seconded. Motion passed.

Sioux Empire Water Festival: Englund moved that $1000 festival w/ $500 maximum to any one festival with January 30 as an application deadline. Clarke seconded. Motion passed.

2011 Conference Concerns: There was discussion about the lack of rooms in Huron for Conference. Kittay explained that SDWWA had the Crossroads reserved for at least four years for the Conference. A racing group had decided w/in the last year to hold races at the same time. There had been plenty of time for people to have gotten their room arrangements taken care of and not wait until the last few weeks before Conference.

Minutes: The minutes were passed out by Kittay. Judy Krege was misidentified on minutes. Englund moved to approve amended minutes. Adler seconded. Motion passed.

Old Business: 30 Year Longevity Award-Dykstra explained the thoughts behind the creation of a new award for 30 year water/wastewater personnel that are not certified. The Siger Bies Award is a 30 year award that only certified water/wastewater operators are eligible for. Englund moved to approve the new award. Adler seconded. Motion passed with Kittay abstaining.

Treasurer’s Report: Kittay reported on the following accounts-

SDWWA checkbook-$45,059.38 as of 5/16/2011

UBS Account-$2906.70 as of 4/29/2011

Wells-Fargo Low Activity Checking Account (Scholarship)-$345.95 as of 4/30/2011

The additional money authorized to be put into SDWWA Scholarship has not been moved yet. Kittay has contacted Verhey about this. The SDSU/SDSMT scholarships, Conference disbursement, and seminar profit checks were written since this bank statement.

Budget Committee: Van Cleave gave the report that Graber had put together. Kittay suggested that a calendar year be used. A few ideas were suggested to spend some of the association funds. Kittay moved to approve that proposed budget. Englund seconded. Motion passed.

Seminars: Englund reported on the WW seminar. There were 72 people in attendance and there were many good presentations. Kittay asked about the DENR awards. Englund stated that by knowing who was at seminar that was receiving the awards, it ran much better. The seminar netted about $1900.

Source to Stream” (S2S): Kittay reported that Therese Hanson was moving to Omaha and will not be an editor any longer. This is an issue for the S2S board to handle.

2011 Committees: The Board formed committees for the coming year. It should be noted that the AWWA and SDWEA reps’ terms are expiring this year as well as the Manufacturers’ Rep. Englund moved to accept the committees as formed. Van Cleave seconded. Motion passed.

2011 Conference Concerns: Kittay reported on the basic structure of conference. AWWA/WEA will keep their spots on agenda as assigned for the past few years. Numerous topics for presentations were given.

Englund thanked the Commercial Committee, WEA, and AWWA Section for their work on the Conference. He also reviewed the Tuesday nite Board meeting for the attendees.

Old Business: Englund called for Old Business. There was none forthcoming.

Officers for 2010-11: Englund announced that Robin Dykstra would be the 2010-11 President and Dan Fink would be the President-Elect.

Vice-President: The candidate from the Board was Dave Van Cleave. Englund called for nominations from the floor. Kittay moved that nominations cease, and a unanimous ballot be cast for Van Cleave. Odens seconded. Motion passed.

Secretary/Treasurer: The candidate from the Board was Rob Kittay. Englund called for nominations from the floor. None were forthcoming. Felton moved that nominations cease, and a unanimous ballot be cast. Schmit seconded. Motion passed.

Englund thanked the Association for allowing him to serve as President. The ceremonial passing of the gavel to 2010-11 President Dykstra took place.

Kittay also just received the Ramkota Inn bill for the Water Seminar.

Committees: The Award Committees were formed. Kittay will send an email to systems and Muni League.

2015 Conference: Kittay moved to have the 2015 Conference at the Spearfish Holiday Inn. R Dykstra seconded. Motion passed.

2010 Conference: Kittay had previously emailed a skeleton agenda for conference. The Board offered suggestions for topics. Schedule with topics needs to be done by July 15 for the conference flyer with speakers confirmed by August 1. Kittay will do a preliminary email on the conference attaching last year’s flyer to show a general flavor of the conference.

Other Business: Englund spoke about the Sioux Empire Water Festival and the Haiti Earthquake relief. DeBoer suggested that a budget line item be established. Kittay moved that $500 be given to the Sioux Empire 2010 Water Festival. R Dykstra seconded. Kittay amended the motion to have money go to 2011 Festival. R Dykstra seconded. Motion passed.

DeBoer suggested that SDWWA establish a budget each year. Graber spoke in favor of this. Kittay move to form a Budget Committee. DeBoer seconded. Motion passed. Englund appointed Kittay, DeBoer, Graber, and himself on the committee.

Englund spoke about paying for speakers again. It was confirmed that SDWWA would pay for motivational type speakers only-Not technical speakers. R Dykstra will pursue a speaker for Conference.

Fink spoke about establishing a stipend/scholarship for operators to attend the conference. This effort will be dealt with by the Budget Committee.

A vote of the Association is needed to affirm this action. Kittay moved to have Hesla and Erickson be Honorary Members. Brinker seconded. Motion passed.

Fletcher thanked the Association for allowing him to serve as President. The ceremonial passing of the gavel to 2009-10 President Englund took place.

Conference Watch: As tradition dictates, Kittay read the conference watch rules, and Hilding conducted the drawing. Joe Munson won the watch.

New Business: The sites of the future conferences were announced as follows: 2010-Sioux Falls Ramkota, 2011-Huron Crossroads Inn, 2012-RC Ramkota, 2013-Aberdeen Ramkota, and 2014-Watertown Ramkota.

Deb Houshell of WEF presented the Bedell Award to Chris Schmit.

Morris Elcock presented an award to Brad Lawrence for his work with SD WARN.

Nominations Committee: R Dykstra gave the report for the committee. The committee put forth Kevin Kuiper-Platte, Jeff Clark-Wall, and Rudy William-Lead-Deadwood Sanitary District as directors. Dan Fink was nominated as VP. Kittay moved for acceptance. Graber seconded. Motion passed.

 

Honorary Members: Kittay moved that Al Erickson of Sioux Falls and Pete Hesla of Aberdeen be nominated for Honorary Membership. Raysor seconded. Motion passed.

 

WW Seminar: The seminar will be held in Rapid City. March 23-24-25 are the possible dates. The committee has met and gathered topics.

Scholarships: DeBoer gave a report. $1000 per yr can be a stand alone scholarship. A memorandum of Understanding (MOU) was presented. Raysor moved to accept. D Dykstra seconded. Motion passed. Bisgard moved that $1000 be given each to SDSU and SDSMT scholarships. Monson seconded. Motion passed.

 

Verhey spoke about the SDWWA scholarship. There is $17,075 total in scholarship fund with $2270 in checkbook. This year, $500 will go to the scholarship winner with the check being written out to the school. The announcement will be done at the banquet. Don Wessel is the name sake of the scholarship for this year. Raysor moved to add $1000 to scholarship. He also spoke about getting money from membership to get up to $20,000. R Dykstra seconded. Motion passed.

 

2014/2015 Conferences: Englund reported that the Brookings Days Inn should be taken out of the running for the Conference. Kittay investigated the Watertown Ramkota, and they have room in 2014. Some people wanted to get info on the Lodge at Deadwood for the 2015 Conference. Kittay moved to have the 2014 Conference at the Watertown Ramkota/Events Center. D Dykstra seconded. Motion passed.

 

2009 Conference Concerns: Englund said that an American flag was needed for meeting room.  The National Anthem and flag entry need to be coordinated. The ceremonial passing of the gavel will occur at the luncheon business meeting.

There is approximately $2700 of SDWWA Scholarship contained within the SDWWA account. The AWWA and WEF shares of seminars and yearly allotments have not been paid. Kittay noted that were was quite a bit of money in SDWWA account. Keynote speakers for conference/seminars, more scholarship money, and lower conference costs were ideas presented to reduce this amount of money.

Graber moved to accept report. D Dykstra seconded. Motion passed.

Scholarship: DeBoer presented a Memorandum of Agreement (MOA) on the SDWWA Scholarship for Environmental Engineering Studies at SDSU (SDWWA Scholarship). This pertains to the money that is currently given each year. The Dornbush Scholarship is fully funded and gives a scholarship with the interest earned. These are two separate scholarships. Raysor suggested that the recipient of the SDWWA Scholarship be a member of the Student Chapter of WEF/AWWA. Raysor moved to approve amended agreement. R Dykstra seconded. Motion passed. DeBoer will come back with a final version of the MOA.

Committees: The Award Committees were formed. An email should be sent to South Dakota Municipal League to advertise the awards.

New Computer for SDWWA: Kittay explained that the current laptop is seven years old, has old software, and locks up on occasion. He said that a new computer is desired. DeBoer moved to buy a new computer/printer/software with a limit of $2500. R Dykstra seconded. Motion passed.

Future Conferences: Kittay moved to have the 2013 Conference at the Aberdeen Ramkota. R Dykstra seconded. Motion passed. Discussion centered around the status of Brookings Days inn being able to hold conference in 2014. Englund and DeBoer will investigate the Days Inn. Raysor will look into Deadwood Ramkota being able to hold 2015 Conference. It was noted that Al Erickson had investigated that facility for the 2012 Conference; however, the room rates were too high. Raysor will also look into a restaurant for the Tuesday nite board meeting.

2009 Conference: Kittay passed out a skeleton agenda for conference. The Board offered suggestions for topics.

Other Business: Kittay moved to eliminate watch drawing at the Annual Conference. Englund seconded. Motion failed.

It was asked if anyone saw “Liquid Assets”-a PBS production that SDWWA contributed to so that it would be shown in SD. A couple members saw it and thought it was good.

Raysor asked about setting up a bus to go to Deadwood during Conference. The concensus was that it would be OK; however, it would not be noted in program.

Constitutional Amendments: The Board passed numerous constitutional amendments that must now be approved by the membership. Copies were made available at registration desk and were passed out to those in attendance. Raysor explained the changes. Verhey moved that the changes be adopted all together. Stefanich seconded. Motion passed.

Nominations Committee: There are pending changes to the Constitution that effect the makeup of the Board with AWWA and WEA getting designated slots this year. The AWWA/WEA reps will ne in charge of the respective seminars and for their associations’ portions of the conference agenda. Englund gave the report for the committee. The committee put forth Kristin Bisgard-AWWA, Dan Graber-WEA, and Tim Monson as directors. Robin Dykstra was nominated as VP. Kittay moved for acceptance of the report. D Dykstra seconded. Motion passed.

Wastewater Seminar-Englund reported that the committee had met that afternoon. The seminar will be held around the end of March in either Mitchell or Sioux Falls.

Water Seminar- DeBoer reported that the program had been competed. It will be held at the RC Ramkota on February 11-12. R Dykstra moved that the seminar reports be accepted. Englund seconded. Motion passed.

Fink moved to put $3000 from the SDWWA General Funds be put into SDWWA scholarship for this year. Raysor seconded. DeBoer suggested that the scholarship award be made by April 30 of each year. DeBoer will also be on committee. Motion passed.

Paying for Speakers: The current policy is to not pay for technical speakers. DeBoer moved to maintain that policy except for motivational/personal development speakers. Englund seconded. AWWA/WEF pay for their national reps. Motion passed.

2008 Conference Concerns: Doug Dykstra asked about credit card usage. Kittay stated that with only three events it would be not cost effective and currently we are not set up to do so.

Raysor suggested that “core beliefs” (policies) be setup for SDWWA similar to what is done by the SD Municipal League.

Treasurer’s Report: Kittay reported that, as of April 17, 2008, there was $50,356.19 in the checkbook plus the UBS account has $3475.66 as of April 30, 2008. There is approximately $12,000 for SDWWA Scholarship contained within the SDWWA account. Kittay would like that money moved out. Raysor will talk to Verhey about doing such. Robin Dykstra moved to accept report. Doug Dykstra seconded. Motion passed.

 

Committee Reports: None

 

“Source to Stream”: Kittay noted that there were only two articles in the May S2S-One from DENR and one from the Lake Traverse Reservation. Everything else was reports from AWWA, award descriptions, or a reprint from the SDARWS publication. Board members need to submit articles. The editors (Steever/Purchase) are to publish what they are given—not necessarily looking for or writing articles. Kittay reviewed article assignments-

AWWA/WEA/SDWWA Combined Meeting: Raysor gave a review of discussions. Kittay spoke about some possible amendments to Constitution to reflect the items discussed at meeting. There was also discussion on revenue sharing from the seminars. Kittay moved for a 50% share of Water Seminar profit/loss go to AWWA-SD Section and a 50% share of Wastewater Seminar profit/loss go to SD WEA. Raysor seconded. Motion passed.

Article V

Executive Committee

 

Section 1. There shall be an Executive Committee in which the government of the Association shall be vested. It shall consist of the Association President, President-Elect, Vice-President, Past-President, Secretary-Treasurer, and nine Directors. At least one member of the Executive Committee shall be a manufacturer’s representative.

 

The Directors will be designated as follows:

 

                One AWWA-SD Section designated representative

                One SDWEA designated representative

                One manufacturers’ representative

                Two people representing water and/or wastewater systems that serve less than 3300 people

                Four at-large directors

 

The Officers of the Association shall be the Officers of the Executive Committee.

Article VI

Duties of the Executive Committee

 

Section 6 …

 

All questions in the Executive Committee shall be decided by a majority vote. Five Eight members shall constitute a quorum. The Executive Committee may vote by letter ballot upon questions submitted by letter from the President and Secretray-Treasurer.

 

Article VI-Kittay moved. Konrad seconded. Motion passed.

 

Article VIII

Annual Business Meeting

 

This Association shall hold an annual business meeting. The place will be selected and the time set by the Executive Committee.

 

Section 1. The Secretary-Treasurer shall make available an agenda send notice to all members of the Association at least ten days before the annual business meeting, giving titles of papers to be read and mentioning any special business to be considered at said meeting.

 

Section 2. Amendments to this Constitution may be proposed by a majority of the Executive Committee, or through it, on a petition of ten (10) percent of the eligible voting members. Amendments to this Constitution must first be adopted by the Executive Committee prior to being voted upon by the membership at-large present at the annual business meeting. If adopted by the Executive Committee, written notice of the proposed amendments shall be made available given to the members at the time of their registration for any regular prior to the annual business meeting. A two-thirds vote of the members present at the annual business meeting shall be necessary for ratification.

 

 

Article VIII-Fink moved. Robin Dykstra seconded. Motion passed.

 

These amendments will now be voted upon at the next business meeting.

 

2008 Conference: Kittay passed out a skeleton agenda for conference. SD WARN would like to hold their annual meeting on Thursday of the Conference. Randy Hilding will be coordinating a split session for small systems on Thursday afternoon with AWWA and WEA coordinating the other two sessions on Thursday afternoon. Fletcher suggested that a breakfast buffet be scheduled for Friday morning. It was also suggested that an ad be placed in the SD Municipal League magazine. Kittay noted that the conference topics were needed by July 10 for the flyer and presenter names by August 15 for the conference program. Kittay will also look into having the Wednesday nite picnic at Steamboat Park where it was held during the last conference in Pierre.

Treasurer’s Report: Kittay reported that, as of 12-17-2007, there was $31,003.87 in the checkbook plus the CD of around $3600. Several thousand dollars in checking account are designated for SDWWA Scholarship. Renewal notices have been sent and several hundred have been processed. They are now trickling in after the initial big rush. Raysor has been speaking to Verhey, and the scholarship fund is near $10,000. DeBoer moved to accept report. Englund seconded. Motion passed. 

W/WW Seminar Reports: Graber represented the WW Seminar. The preliminary agenda is done. He will get agenda to Kittay by Feb 1 for flyer.  

DeBoer spoke for the Water Seminar. All is done except perhaps one speaker is being sought. The flyers have been sent. 

Raysor spoke about AWWA/WEF sharing revenue from seminars. Graber spoke about WEF perspective. Schmit added a few comments also. The OpCert topic was mentioned because of higher training and contact hour requirements. It is felt that the three groups need to get together to achieve some common goals. It was suggested that they should have a common meeting to get a direction. Schmit suggested a possible concept for the conference of a six member committee made up of all three groups. Perhaps a facilitator for the joint meeting would be needed.  Kittay moved that a large group meeting be held. Selland seconded. Motion passed. Raysor asked Kittay to get a date at Oacoma in April for the meeting.

September 13, 2007

Call to Order: By President Badten at 12:39 pm. Approximately 175 were in attendance.

Badten thanked Jim Raysor, WEA, and AWWA Section for their work on the Conference. She also reviewed the Tuesday nite Board meeting for the attendees.

Minutes: The minutes of the 2006 Business Meeting had been published on the SDWWA web site. Royalty moved for approval. Fletcher seconded. Motion passed.

Old Business: Badten called for Old Business. Verhey spoke about the SDWWA Scholarship for members’ children.

Officers for 2007-08: Badten announced that Jim Raysor would be the 2007-08 President and Wayne Fletcher would be the President-Elect.

Vice-President: The candidate from the Board was Gary Englund from Brookings. Badten called for nominations from the floor. Verhey moved that nominations cease, and a unanimous ballot be cast for Fletcher. Beoerger seconded. Motion passed.

Secretary/Treasurer: The candidate from the Board was Rob Kittay. Badten called for nominations from the floor. None were forthcoming. Merrigan moved that nominations cease, and a unanimous ballot be cast. Clark seconded. Motion passed.

Outgoing Directors: Chip Petrik, Vern Johnson, and Craig Wagner are the outgoing directors and were recognized.

New Directors for 2007-08: The three directors recommended by the Nominating Committee were Del DeBoer from SDSU, Doug Dykstra from Sioux Falls, and Bill Selland from Salem. Badten called for nominations from the floor. Kittay moved to accept the candidates. Hilding seconded. Motion passed.

Badten thanked the Association for allowing her to serve as President. The ceremonial passing of the gavel to 2007-2008 President Raysor took place.

Conference Watch: As tradition dictates, Kittay read the conference watch rules, and Hilding conducted the drawing. Ron Barber won the watch.

New Business: The sites of the future conferences were announced as follows: 2008-Pierre, 2009-Spearfish, 2010-Sioux Falls, 2011-Huron, and 2012-RC.

Fink moved to increase the sec/treasurer honorium to $700. Wagner seconded. Motion passed.

Nominations Committee: Badten gave the report for the committee. The committee put forth Bill Selland from Salem, Doug Dykstra from Sioux Falls, and Del DeBoer from SDSU as directors. Gary Englund was nominated as VP. Kittay moved for acceptance. Petrik seconded. Motion passed.

2012 Conference: Kittay had made inquiries with RC Ramkota for the 2012 Conference. Petrik moved to accept this location. Wagner seconded. Motion passed.

2007 Conference Concerns: Badten asked about the Dakota Pump reception. Angello had been in contact with Kittay a number of times.

Other Business: Badten stated that SD AWWA and WEA asked about seminar setup and perhaps getting a share of the profits. Raysor indicated that SDWWA should meet in November and have the two groups state what they wanted.

Water & WW Seminar Reports: Kittay indicated that the WW Seminar needed to get moving sooner. The WW Committee will be meeting during the Conference. A date and place needs to be determined ASAP.

2007 Committees: The Board formed committees for the year.

2007 Conference: The Conference is to be held in Watertown at the Ramkota on September 12-13-14. Smith will be getting the tabletop info out in June. The Board suggested ideas for possible presentations. The presentation ideas are needed by July 1 for the mailed flyers and presentation topics w/ names by July 20 for the program.

Other Business: Fink asked about prior t-shirt sales and what happened w/ it. Raysor said it could be a scholarship raising idea.

Call to Order: By President MacDonald at 12:31 pm. Approximately 175 were in attendance.

MacDonald thanked the WEA, AWWA Section, Local Arrangements Committee, and Commercial Committee for their work on the Conference. He also reviewed the Tuesday nite Board meeting for the attendees. Board is working on scholarship for children of SDWWA members. Also ads on web site may be possible.

Minutes: The minutes of the 2005 Business Meeting had been published in the SDWWA web site and provided at this meeting. Vansco moved for approval. Graber seconded. Motion passed.

Old Business: MacDonald called for Old Business, and there was none.

MacDonald announced that Peggi Badten would be the 2006-07 President and Jim Raysor would be the President-Elect.

Call to Order: MacDonald called the meeting to order at 6:01. A quorum was present. The Board introduced themselves.

Approval of Agenda: Englund would like to add a “clearinghouse of spare parts” to agenda. Dykstra moved to accept the amended agenda. Graverson seconded. Motion passed.

Minutes: The minutes were emailed by Kittay and were on web site. Raysor moved to approve minutes. Badten seconded. Motion passed.

Old Business: Kim Verhey had suggested a scholarship for SDWWA member children. He gave a presentation for some ideas that he had been working on. He suggested a number of methods to raise the money to establish an annuity. The plan would be to then use the interest every year for the scholarship. Raysor moved to appoint a committee to explore moving forward with this project. Wagner seconded. Motion passed. Wagner suggested that Verhey be chairperson for the committee. Raysor, Lowe, Smith, and Erickson volunteered to be on the committee.

Treasurer’s Report: Kittay reported that there was $27,718.86 in the checkbook plus the CD ($3360.87). A full report of the income and payments was provided. Lowe moved to accept report. Raysor seconded. Motion passed.

Auditing Committee: Kittay gave the report. Mark McIntire and Ron Ramsey were on committee. The audit was done on September 7, 2006. There was $25,714.55 in checkbook, $3360.87 in the CD, and the books were in order. Johnson moved to accept the report. Lowe seconded. Motion passed.

Nominations Committee: MacDonald gave the report for the committee. The committee put forth Dan Fink of Harrisburg and Vince Juelfs of Huron as directors. Wayne Fletcher was nominated as VP. Kittay moved for acceptance. Petrik seconded. Motion passed. The committee will contact John Cloud as another possible candidate.

Other Committee Reports: Lowe reported on the PR/SB Award. There was some disconcern from an SDWWA member on awards. Erickson said that it is the duty of someone to be nominated even if they do it themselves.

WW Seminar: Dan Graber will head the committee. A site and date needs to be picked.

“Source to Stream”: Erickson gave the report. Jan Kittay has resigned from all matters on magazine. A copy of the report was provided. A definition of what the Editorial Board is was made.

Other Business: Englund spoke about an idea to get rid of spare parts from various systems. There was also talk about a question-and-answer email group. Kittay maintains an extensive email list of W/WW systems that could be used.

Verhey spoke about the web site. There is a possible advertiser. Verhey wanted to know if the Board wanted to allow ads. Badten moved that ads for website be $50 per year. Raysor seconded. Motion passed.

Graverson moved for adjournment. MacDonald seconded. Meeting adjourned at 8:00 pm.

Call to Order: Macdonald called the meeting to order at 11:35 am. A quorum was present. The Board introduced themselves.

 

Approval of Agenda: Englund moved to accept the agenda with the deletion of scholarship agenda item. Badten seconded. Motion passed.

 

Minutes: The minutes were emailed by Kittay and were on web site. Kittay moved to approve minutes. Erickson seconded. Motion passed.

 

Old Business: Kittay notified the Board that the PA system had been purchased ($425). The Sewerage and Water Board of New Orleans (SWBNO) sent a reply for the $1000 contribution that the Board approved during the September meeting.

 

Treasurer’s Report-Kittay gave the report. There is $3324.96 in the Piper Jaffray account and $31,139.42 in the checking account. He also indicated what was recently paid and recent deposits. Lowe moved to accept the report. Johnson seconded. Motion passed.

 

Water Seminar Report-Erickson gave the report of the seminar. All items with the seminar went well. There were 105 attendees. The 2007 will be held during the same week at the RC Ramkota. The committee will meet prior to the 2006 Conference.

 

Wastewater Seminar Report-Badten mentioned a few items. The seminar went well. The Awards Dinner was a success also.  

 

There were no other committee reports.

 

Raysor entered meeting at 11:51 am.

 

2006 Committee Formation-MacDonald mentioned about the Siger Bies/Price-Rees Committee should select Honorary Members if there are any deserving members. Committees were formed. See attachment.

 

Conference Program Ideas-Badten is in charge of conference program. Ideas were offered by the board members. A program for the flyer and Source to Stream is needed by July 1. Final program is needed by August 10.

Minutes: The minutes of the 2004 Business Meeting had been published in the SDWWA web site.  Hesla moved for approval. Royalty seconded.  Motion passed.

Erickson announced that Malcolm MacDonald would be the 2005-06 President and Peggi Badten would be the President-Elect. 

Vice-President: The candidate from the Board was Jim Raysor from Deadwood. Erickson called for nominations from the floor. Kittay moved that nominations cease and a unanimous ballot be cast for Raysor. Odens seconded. Motion passed.

Secretary/Treasurer: The candidate from the Board was Rob Kittay. Erickson called for nominations from the floor. None were forthcoming. Van Cleave moved that nominations cease and a unanimous ballot be cast. England seconded. Motion passed.

Directors: The three directors recommended by the Nominating Committee were Thad Konrad from Tea, Robin Dykstra from Parker, and Tyler Smith as the manufacturers’ rep. Erickson called for nominations from the floor. BB moved to accept the candidates. Royalty seconded. Motion passed.

Conference Watch: As tradition dictates, Kittay read the conference watch rules, and  Hilding conducted the drawing. Chancy Shrake of DENR was the winner. Busby and Mince also won prizes. 

New Business: The sites of the future conferences were announced as follows: 2006-Rapid City; 2007-Watertown; and 2008-Pierre. 

The AWWA Young Professionals announced the results of the meter assembly competition.

Call to Order: Erickson called the meeting to order at 6:13 . A quorum was present. The Board introduced themselves.

Minutes: The minutes were emailed by Kittay and were on web site. Kittay moved to approve minutes. Badten seconded. Motion passed.

 

Old Business: Kim Verhey had suggested a scholarship for SDWWA children. A committee was formed. No action was taken.

 

Portable PA system-No action taken. MacDonald moved to purchase the system. Badten seconded. Motion passed.

 

Treasurer’s Report: Kittay reported that there was $19,475.23 in the checkbook plus the CD ($3230.84). A full report of the income and payments was provided. Englund moved to accept report. Clark seconded. Motion passed.

 

Auditing Committee: Kittay gave the report. Andrea Griese, Mark McIntire, and Bill Sarringar were on committee. The audit was done on September 7, 2005 . There was $22,473.23 in checkbook, $3230.84 in the CD, and the books were in order. Fletcher moved to accept the report. Johnson seconded. Motion passed.

 

Nominations Committee: Mac Donald gave the report for the committee. The committee put forth Robin Dykstra from Parker, Thad Konrad from Tea, and Tyler Smith from DSG. Jim Raysor from Deadwood was nominated as VP. Kittay moved for acceptance. Lowe seconded. Motion passed.

 

Other Committee Reports: Lowe spoke about the Price-Rees Award committee.

 

Water/WW Seminar: Water Seminar committee had met. Topics were found. Dan Graber and Aaron Moen are going to work with SD WEA and help with Wastewater Seminar program.

 

2005-2006 Officers: MacDonald will be president, Erickson will be past-president, and Badten will become president-elect.

 

Secretary-Treasurer-Graverson nominated Kittay with Clark seconding. Motion passed. Kittay will be the Board’s candidate for S/T.

 

Scholarships: Kittay gave a brief description of previous years’ scholarship program. Kittay moved to continue scholarship program for 2005-2006. Englund seconded. Motion passed.

 

2009 Conference: Erickson spoke to owners group of the proposed Deadwood Ramkota. MacDonald will talk to Spearfish Holiday Inn about 2009 Conference.

 

Newsletter: Kittay explained the concept of a new combined newsletter with AWWA and WEA. Badten said articles had been submitted and not published. Badten moved to approve this new concept for the newsletter. Clark seconded. Motion passed.  Kittay/Erickson will speak to other groups. Badten will bring up the topic at the WEA meeting.

Kittay suggested a Katrina Relief donation to help rebuilding there. Badten moved to donate $1000 to relief in the affected area. Graverson seconded. Motion passed. Badten/MacDonald will investigate and decide the specific group to receive the donation.

Call to Order: Erickson called the meeting to order at 12:48 . A quorum was present. The Board introduced themselves.

Minutes: The minutes were emailed by Kittay and were on web site. MacDonald moved to approve minutes. Lowe seconded. Motion passed.

 

Old Business: Kittay reported on LCD projector purchase. Kittay moved to accept the report. Graverson seconded. Motion passed.

 

Treasurer’s Report: Kittay reported that there was $30,098.77 in the checkbook plus the CD ($3300). Some items haven’t been paid. Fletcher moved to accept report. Englund seconded. Motion passed.

 

Seminar Reports-Erickson gave water report for Water Seminar. There were technical problems-computer problems and versions of Powerpoint that were not up-to-date. It was suggested that a person be assigned for technical issues for each session of seminar. Also, presentations should be sent prior to seminar to coordinator so that they can be loaded to computer and any problems could be ironed out before seminar. Next year-Sioux Falls Ramkota February 8-9, 2006 .

 

Dave Van Cleave submitted a written report for the Wastewater Seminar. The Award Banquet had 92 in attendance. VanCleave is willing to run the seminar again. He wants to go a central location (Pierre or Oacoma) for 2006. Kittay moved for acceptance of the reports. Hargens seconded. Motion passed.

 

Committees for 2005-These committees were formed. Englund moved to accept the committees. MacDonald seconded. Motion passed.

 

2009-2010 Conference Sites-MacDonald suggested that the Ramkota will have a facility in Deadwood. Kittay stated that a firm reservation for the 2009 Conference should be obtained July 1. Kittay had spoken to SF Ramkota for 2010. Kittay moved to accept these Conference sites. Englund seconded. Motion passed.

 

2005 Conference Organization-Kittay provided a skeleton for Conference. Brookings Inn will be able to hold Business Luncheon on Thursday afternoon. There will be a WEF meeting during displays. Some concern on part of a vendor that there were not supposed to be meetings during displays.

 

Presentations for 2005 Conference-The Board suggested topics for Conference. MacDonald collected the ideas and will form the program.

 

Other Business: Fletcher reported there were some hearing problems at some motels during meetings. He did a search on projection equipment. He will do some more checking on it.

 

Erickson reported that Deb Callahan from SF asked about a Water Festival donation. There are held in SF and a number of other cities. There was no motion forth coming on this issue.

 

Kim Verhey suggested that an SDWWA Scholarship be set up for children of SDWWA members. Kittay moved that Verhey head a committee with Hargens/Erickson to give a $500 scholarship. Englund seconded. Motion passed.

Hargens called for Old Business, and there was none.

Hargens announced that Al Erickson would be the 2004-05 President and Malcolm MacDonald would be the President-Elect.

Vice-President: The candidate from the Board was Peggi Badten from Aberdeen. Hargens called for nominations from the floor. Kittay moved that nominations cease and a unanimous ballot be cast for Badten. Yde seconded. Motion passed.

Secretary/Treasurer: The candidate from the Board was Rob Kittay. Hargens called for nominations from the floor. None were forthcoming. Zeck moved that nominations cease and a unanimous ballot be cast. Merrigan seconded. Motion passed.

2004 W/WW Seminars: Erickson will be heading up the Water Seminar with help from JR Yde. The Seminar will be held in February in RC Ramkota. The Wastewater Seminar leadership is still up in the air. Several names were suggested. Hargens will pursue this.

2004 Conference Ideas: Some general ideas for the conference schedule were discussed. Specific presentation ideas were given. Erickson is in charge of the program from SDWWA. AWWA-SD Section has volunteered to take care of one of the Thursday afternoon sessions. WEF has not responded as to their role.

Other Business: Kittay reminded the Board members that each one needs to submit an article for the Clarifier during the year.

2002 Conference Wrap-up: Torgrude indicated that the manufacturers’ tabletop displays were a little cramped. It was somewhat hard to hear at pool during Business Meeting.

2007/2008 Conferences: Kittay had done some preliminary work for future conferences. He moved that Watertown Ramkota hold the 2007 Conference and Pierre Ramkota hold the 2008 Conference. Erikson seconded. Motion passed.

Vice President: The Association needs to fill the VP position as the person nominated never wanted the position. Hargens nominated Al Erickson. Graverson seconded. RKittay moved that nominations cease and cast a unanimous ballot for Erickson. Macdonald seconded. Motion passed.

2003 Conference: The Business Meeting will be held at noon Thursday with luncheon. AWWA meeting will be held at 6:00 pm Tuesday and 4:30 pm Thursday. There again will be no spouses program. AWWA/WEA will form the Thursday afternoon programs. Ideas for presentations were given by the Board.

Other Business: Macdonald indicated that SDARWS is going to hold an advanced distribution workshop. He was looking for possible participation by SDWWA. He will bring a concrete proposal to the next Board meeting. There was no other business forthcoming.

The next meeting will be planned for the Conference.

Call to Order: Hilding called the meeting to order at 6:10. A quorum was present. The Board introduced themselves.

Approval of Agenda: Swanson moved to accept the revised agenda. Hargens seconded. Motion passed.

Minutes: The minutes were emailed by Kittay. Van Cleave moved to approve minutes as corrected. Peterson seconded. Motion passed.

Old Business: There was none.

Treasurer’s Report: Kittay reported that there was $6794.36 in the checkbook plus the CD ($3154.29). A full report of the income and payments was provided. Hilding moved to accept report. Corbin seconded. Motion passed.

Auditing Committee: Sarringer gave the report. Andrea Griese, Bill Sarringer and Fred Snodderly were on committee. The audit was done on August 21, 2001. There was $3095.06 in checkbook and the books were in order. Swanson moved to accept the report. Van Cleave seconded. Motion passed.

Nominations Committee: Swanson gave the report for the committee. The committee put forth Jeff Clark from Wall, Tim Munson from Sioux Pipe, and Wayne Fletcher from Beresford. Kittay moved for acceptance. Sarringer seconded. Motion passed.

2002-2003 Officers: Van Cleave will be president, Hilding will be past-president, and Hargens will become president-elect.

Vice-President-Corbin nominated Kim Verhey of Madison and Peterson seconded. Erickson moved that nominations cease. Kittay seconded. Motion passed. Verhey will be the Board’s candidate for VP.

Scholarships: Kittay gave a brief description of previous years’ scholarship program. Swanson moved to continue scholarship program for 2002-2003. Peterson seconded. Motion passed.

2002 Conference: Van Cleave indicated that one speaker will not be showing up for the WW session. Hilding will have a moment of silence for 9/11.

New Computer: The screen is going bad on the SDWWA laptop. Kittay asked for permission to spend $2000. Sarringer moved to allow association to spend $2000 for a new laptop. Hargens seconded. Motion passed

Reports from Standing Committees-No reports

Clarifier-No articles have been submitted for Clarifier by Board. Each Board member needs to submit by May 10 or July 1. Kittay asked about pictures in Clarifier.

2002 Committee Formation-The Board filled out names for each of the SDWWA 2002 Committees.

Water and Wastewater Seminars-JR Yde has resigned as Water Seminar Chairperson. Hilding will look into the leadership of each seminar.

2001 Conference Review-Kittay summarized conference. Conference and speakers were good in consideration of events of September 11, 2001. Some manufactures' reps wanted more time for displays. Some were switching spots without permission. Torgrude will do a reconnaissance of Crossroads for setup for tabletop displays.

2005 Conference Site-Kittay move for Brookings Inn. Swanson seconded. Motion passed.

Resignation of Greg Anderson-MacDonald to accept the resignation. Corbin seconded. Motion passed. Kittay moved for Gavin Graverson of Sioux Falls.  Van Cleave seconded. Motion passed.

Conference Ideas-The Board gave ideas to Van Cleave for possible presentations for Conference. He will coordinate w/ AWWA and WEA on subjects and will develop a schedule for Conference.

Other Business-There was none.

Next Meeting-The next Board meeting will be held on September 10, 2002 at 6:00 pm at the Huron Crossroads.

SDWWA Annual Business Meeting

Call to Order: By President Swanson at 7:10 pm.  Approximately 140 were in attendance.

Swanson thanked the Local Arrangements Committee and Commercial Committee for their work.

Minutes: The minutes of the 2000 Business Meeting had been published in Clarifier and the SDWWA web site.  Elcock moved for approval. Harts seconded.  Motion passed.

Auditing Committee Report: The report was given by Ray Birchem. Andrea Griese and Bill Sarringer were also on the committee.  All balances were in proper order as of August 21, 2001. Checkbook balance was $3023.40, and there was $3095.06 was in the Piper Jaffrey account. Dennis Sparks moved for acceptance of the report. Linda Harris seconded. Motion passed. This was Ray Birchem's last report as part of the Auditing Committee as he will be retiring.

Swanson called for Old Business, and there was none.

Swanson thanked the Association for allowing her to serve as President. The ceremonial passing of the gavel to 2001-2002 President-Elect Randy Hilding took place. 

It was announced that Mike Boerger, Randy William, and Sue Hargens were the directors that would be leaving the Board.

Vice-President: The candidate from the Board was Sue Hargens from Mid-Dakota RWS. Hilding called for nominations from the floor. None were forthcoming.  Rob Kittay moved that nominations cease and a unanimous ballot be cast. JR Yde  seconded. Motion passed.

Web Site Review: Kittay said to delay putting Clarifier on web by a quarter each time. Advertisers would not be put in. Power point presentations can be put out there. Award applications are there now.

Clarifier: Swanson indicated that the next issue deadline is July 15 and which Board members needed to supply articles. Up-to-date exam dates were needed for the Clarifier.

Committee Reports: Wastewater Seminar report by Zeck-He would like to work w/ a co-leader for next year’s seminar. Peterson said he would assist w/ this. He spoke about state rates & Mitchell Holiday Inn. Date & place of next year’s seminar will be determined by committee.

Nominations Committee-Zeck gave some information from this committee. Kittay said to let this committee determine the replacement for Carr.

2001 Conference: The general format for the conference was discussed. Hilding led discussion as he is in charge of the program. The business luncheon cannot be held on Thursday afternoon as was done last year. Zeck moved to have business meeting on Wednesday evening. Hargens seconded. It was suggested that Hilding figure out the logistics of having this meeting on Wednesday. Motion passed.

Del DeBoer and Doug Anderson proposed that AWWA-SD Section set up the Thursday afternoon water session and would then have the AWWA business meeting after that session. DeBoer also indicated some proposed topics. Torgrude indicated that 8:00-noon on Thursday for tabletop displays was again desired. Van Cleave would like WEF to plan the Thursday wastewater session.

Kittay moved to allow WEF to coordinate the Thursday wastewater session. Hilding seconded. Motion passed.

Presentation ideas for the conference were given by the Board.

Other Business: There was none.

Next Meeting: The next Board meeting will be on September 11 at 6:00 pm at Yankton Kelly Inn prior to conference.

2001 Conference Preparation: Spouses Program-It was felt that the spouses program is not worth doing because of low attendance and the amount of effort to do such. Swanson moved and Hargens seconded to not have a spouses program. Motion passed. Hilding spoke about his inspection of Kelly Inn. The luncheon will not be able to be held on Thursday.

Committee Formation: The Board proceeded to make committee assignments.

Committee Reports: Zeck-Wastewater Seminar-The seminar will be held in Mitchell March 29-30. Zeck will checking w/ Stack on progress. Talk centered about rotating chairpersons for these seminar committees. Chairs should draw up items that need to be handled for each seminar.

Kittay delivered info for Yde about water seminar.

Other Business: Swanson asked about money given to AWWA from SDWWA.

Next Meeting: The next Board meeting will be in April or May in Oacoma. The specific day will be set by President.

Zeck thanked the Local Arrangements Committee for their work to prepare for Conference and Doug Herron for arranging the golf tournament.

Auditing Committee Report: The report was given by Ray Birchem. September 8, 2000 was date of audit. Vern Thorson & Bill Sarringer were also on the committee. All balances were in proper order. Checkbook balance was $5745.98 and there was $2938.79 was in the Piper Jaffrey account. Cindy Swanson moved for acceptance of the report. Dave Van Cleave seconded. Motion passed.

The ceremonial passing of the gavel to 2000-2001 President-Elect Swanson took place.
